IMPORTANT NOTICE

These Terms and Conditions of Use (“Terms”) constitute a legally binding agreement between you and Docsora Technologies LLC Fz, a company registered in Dubai, United Arab Emirates (“Docsora,” “Company,” “we,” “us,” or “our”).

These Terms govern your access to and use of Docsora’s websites, applications, software, document management services, electronic signature services, file transfers, document storage, artificial intelligence functionality, document utilities, workflow automation tools, and associated products and services (collectively, the “Services”).

By registering for an Account, expressly accepting these Terms, purchasing a Subscription, or otherwise entering into an agreement incorporating these Terms, you agree to be bound by them.

If you use the Services on behalf of an organisation, you represent that you are authorised to bind that organisation.

PLEASE READ THESE TERMS CAREFULLY. THEY INCLUDE IMPORTANT PROVISIONS REGARDING CUSTOMER RESPONSIBILITIES, ELECTRONIC SIGNATURES, AUTOMATED WORKFLOWS, PAYMENT REQUESTS, WARRANTY DISCLAIMERS, LIMITATIONS OF LIABILITY, AND DISPUTE RESOLUTION.

Nothing in these Terms excludes, restricts, or modifies rights, remedies, or liabilities that cannot lawfully be excluded, restricted, or modified.

2. ACCEPTANCE AND AUTHORITY

2.1 You must have the legal capacity to enter into these Terms.

2.2 If you act for an organisation, you represent that you have authority to bind it.

2.3 An organisation is responsible for its authorised Users’ use of the Services within the scope of their access and authority.

2.4 Certain Recipients may access documents without registering for an Account. Their participation may be governed by applicable recipient notices, electronic consent, and transaction-specific terms.

2.5 Where an enterprise agreement or order form has been separately executed, that agreement prevails over conflicting provisions of these Terms to the extent expressly specified.

2.6 Docsora may maintain records of contractual acceptance, including the accepted version, timestamp, and associated Account or transaction information.

3. ELIGIBILITY

3.1 Individuals must be at least eighteen (18) years old, or the age of legal majority in their jurisdiction if higher, to independently establish a paid contractual relationship with Docsora.

3.2 Individuals aged sixteen (16) or seventeen (17) may use eligible free Services or participate as Recipients only where permitted by Applicable Law and with any required authorisation.

3.3 Individuals under sixteen (16) may not independently register for a Docsora Account.

3.4 Customers are responsible for determining whether their Recipients have the capacity and authority required for a particular transaction.

3.5 Docsora may restrict access where eligibility requirements have not been satisfied.

4. ACCOUNTS AND SECURITY

4.1 Users must provide accurate registration and Account information.

4.2 Users must safeguard their login credentials and authentication methods.

4.3 Users must not knowingly permit unauthorised access to their Accounts.

4.4 Users must promptly notify Docsora of suspected unauthorised activity.

4.5 Customers are responsible for managing their authorised Users and assigned permissions.

4.6 Docsora may require additional authentication, verification, or security measures.

4.7 Docsora may temporarily restrict access where reasonably necessary to address suspected fraud, security threats, or unlawful activity.

4.8 Docsora is not responsible for losses caused solely by a Customer’s compromised credentials, insecure devices, or incorrectly configured permissions, except to the extent attributable to Docsora’s own breach of an applicable obligation.

5. BUSINESS WORKSPACES

5.1 Business Customers may create workspaces with multiple Users.

5.2 Administrators may control available workspace settings, permissions, memberships, and storage allocations.

5.3 Customers are responsible for selecting Administrators and reviewing their authority.

5.4 Customers must promptly remove access when a User is no longer authorised.

5.5 Docsora is not responsible for internal disputes between Customers and their employees, contractors, or authorised Users, except where liability arises from Docsora’s own conduct.

6.4 Docsora may improve, update, modify, or discontinue features.

6.5 Where a material change adversely affects paid functionality, Docsora will provide notice or remedies required by Applicable Law or an applicable written agreement.

PART A - DOCSORA FLOWS

7. WORKFLOW AUTOMATION

7.1 Flows enables Customers to configure and manage document-related processes.

7.2 Supported functionality may include requesting files, asking questions, delivering files, completing documents, requesting payments, and obtaining electronic signatures.

7.3 Customers determine the purpose, content, configuration, and participants of their Workflows.

7.4 Docsora provides the technical platform and is not a party to the underlying transactions or relationships between Customers and Recipients.

7.5 Docsora does not independently approve or verify the commercial, legal, or regulatory suitability of Customer-created Workflows.

7.6 Customers must ensure that their Workflows comply with Applicable Law.

8. WORKFLOW CONFIGURATION

8.1 Customers are responsible for configuring their Workflows accurately.

8.2 This includes selecting:

(a) Recipients and roles;

(b) Required documents;

(c) Questions and form fields;

(d) Access permissions;

(e) Task sequences;

(f) Approvers and reviewers;

(g) Deadlines and reminders;

(h) Payment instructions; and

(i) Delivery and completion settings.

8.3 Customers must review configurations before launching Workflows.

8.4 Docsora is not responsible for consequences arising solely from incorrect Customer instructions, Recipient details, or settings, except where caused by Docsora’s breach of an applicable obligation.

9. AUTOMATED ACTIONS AND NOTIFICATIONS

9.1 Workflows may automatically send invitations, reminders, notifications, and status updates.

9.2 Automated actions depend on configured conditions, system availability, contact information, and Recipient activity.

9.3 Docsora does not guarantee delivery or receipt of every notification at an exact time.

9.4 Customers remain responsible for monitoring important transactions and deadlines.

9.5 Automated notifications do not replace statutory notices, legally required service procedures, or independent compliance checks unless the applicable legal requirements are satisfied.

10. DEADLINES AND EXPIRATION

10.1 Customers may establish deadlines for Workflow tasks.

10.2 Workflows may expire, pause, or stop progressing when configured deadlines are reached.

10.3 Customers are responsible for monitoring deadlines and extending or restarting Workflows where appropriate.

10.4 Extending a Workflow deadline does not automatically extend an underlying contractual or statutory deadline.

10.5 Docsora does not guarantee that reminders will prevent missed deadlines.

11. RECIPIENTS AND AUTHORITY

11.1 Customers must ensure that invitations are sent to the intended Recipients.

11.2 Customers are responsible for verifying whether Recipients have authority to perform assigned actions.

11.3 Authentication mechanisms, including one-time passcodes, may help verify access but do not conclusively establish legal identity, authority, or capacity.

11.4 Customers remain responsible for additional identity verification, due diligence, or regulatory checks required for their transactions.

12. REQUEST FILES AND ASK QUESTIONS

12.1 Customers may request documents and information from Recipients.

12.2 Docsora does not independently verify the accuracy, authenticity, completeness, or legality of submitted information unless an expressly identified verification service is provided.

12.3 Customers must review submissions before relying on them.

12.4 Collecting identification documents through Docsora does not itself constitute know-your-customer verification, anti-money laundering screening, or regulatory compliance.

12.5 Recipients must not knowingly submit fraudulent or unlawfully obtained information.

13. FILL DOCUMENT

13.1 Customers may prepare documents containing fields for Recipients to complete.

13.2 Customers are responsible for the accuracy and legal suitability of the documents and required fields.

13.3 Docsora does not guarantee that completed documents are legally sufficient, error-free, or suitable for a particular transaction.

13.4 Customers must review completed documents before consequential use.

14. DELIVER FILES, APPROVALS, AND REVISIONS

14.1 Customers may deliver documents and request approvals or revisions.

14.2 Recorded approval actions reflect activity performed through the Services.

14.3 An approval does not independently establish the approver’s legal authority.

14.4 Customers are responsible for reviewing document versions and determining the contractual significance of approvals.

14.5 A document being opened or downloaded does not necessarily establish acceptance of its contents.

15. COMPLETION PACKS

15.1 Docsora may generate consolidated packages of documents and records associated with completed Workflows.

15.2 The contents depend on the relevant Workflow and available information.

15.3 Customers are responsible for checking the completeness and accuracy of Completion Packs.

15.4 Completion Packs are not guaranteed to satisfy every statutory recordkeeping, certification, or evidentiary requirement.

15.5 Customers must retain additional records where required.

PART B - ELECTRONIC SIGNATURES

16. DOCSORA SIGN

16.1 Docsora Sign facilitates electronic signature transactions.

16.2 Docsora is not a party to agreements executed through the Services.

16.3 Customers are responsible for the legality, accuracy, and suitability of documents submitted for signature.

16.4 Customers must determine whether electronic signatures are legally permitted for the relevant document and jurisdiction.

16.5 Certain documents may require witnesses, notarisation, qualified signatures, physical execution, or other formalities.

16.6 Docsora does not guarantee that every signature will be legally enforceable in every jurisdiction.

16.7 Signing records, timestamps, and authentication events may support evidentiary purposes but do not conclusively establish identity, authority, or intent.

16.8 Customers are responsible for obtaining legally required consent to electronic transactions.

16.9 Docsora is not responsible for disputes concerning the underlying agreement, including disputes involving fraud, misrepresentation, coercion, or lack of authority, except to the extent caused by Docsora’s own legally actionable conduct.

PART C - PAYMENT REQUESTS

17. REQUEST PAYMENT

17.1 Docsora Flows may allow Customers to request payments using bank transfer instructions or external payment links.

17.2 Unless expressly stated in separate applicable terms, Docsora does not act as a bank, payment processor, payment institution, escrow provider, money transmitter, or merchant of record for those transactions.

17.3 Docsora does not receive, hold, safeguard, or settle funds between Customers and Recipients through this functionality.

17.4 Payments are completed through the relevant bank or external payment service.

17.5 Customers are responsible for:

(a) The legitimacy of payment requests;

(b) Payment amounts and currencies;

(c) Bank account details and payment links;

(d) Taxes and invoices;

(e) Refunds and disputes;

(f) Payment reconciliation; and

(g) Confirming receipt of funds.

17.6 Docsora does not guarantee successful payment or the accuracy of Customer-provided payment instructions.

18. PAYMENT CONFIRMATION

18.1 Recipients may submit payment receipts or supporting documents.

18.2 A receipt, screenshot, or payment confirmation reference does not independently establish that funds have cleared.

18.3 Customers must verify payments directly through their financial institution or payment provider.

18.4 A reviewer marking a payment as confirmed does not constitute independent verification by Docsora.

18.5 Customers should not release payment-dependent deliverables without appropriate verification.

18.6 Docsora is not responsible for financial losses caused solely by a Customer’s reliance on fraudulent or unverified payment evidence, except where liability arises from Docsora’s own conduct.

PART D - TRANSFER, TRACK, AND STORAGE

19. DOCSORA TRANSFER

19.1 Docsora Transfer enables Users to share files with designated Recipients.

19.2 Customers are responsible for selecting files, Recipients, permissions, and access settings.

19.3 Transfers may be subject to expiration periods, file limits, and other restrictions.

19.4 Docsora does not guarantee that Recipients will access, download, review, or retain transferred files.

19.5 Customers must maintain independent copies of important files.

19.6 Password protection and access restrictions reduce certain risks but cannot guarantee that files will never be accessed or disclosed without authorisation.

19.7 Expiration of a transfer link does not necessarily result in immediate deletion of every associated record, log, or backup.

20. DOCSORA TRACK

20.1 Docsora Track may display recorded activity associated with documents, transfers, signatures, and Workflows.

20.2 Such information may include access events, downloads, signature status, Workflow progress, and timestamps.

20.3 Tracking records reflect events captured by the Services.

20.4 They do not conclusively establish that a particular person read, understood, or legally accepted a document.

20.5 Customers are responsible for providing any legally required notices concerning tracking.

20.6 Docsora does not guarantee that all recipient activity outside the platform can be monitored.

21. DOCUMENT STORAGE

21.1 Docsora may provide document storage subject to applicable Subscription limits.

21.2 Customers retain ownership of their documents.

21.3 Customers are responsible for maintaining independent backups appropriate to their needs.

21.4 Docsora does not provide certified archival or regulatory records-management services unless expressly agreed.

21.5 Customers remain responsible for statutory and contractual recordkeeping obligations.

24.5 Customers must determine whether compressed files remain suitable for their intended use.

25.3 Customers are responsible for selecting appropriate passwords and managing access credentials.

25.4 Docsora is not responsible for disclosures caused solely by Customers sharing passwords or otherwise exposing protected files, except where attributable to Docsora’s own breach.

26. DOCUMENT ORGANISATION AND PROCESSING

28. TRANSLATION, SUMMARISATION, AND DOCUMENT CHAT

28.1 Docsora may provide automated translation, summarisation, and conversational document assistance.

28.2 Generated outputs may contain inaccuracies, omissions, mistranslations, or misleading statements.

28.3 Automated translations are not certified translations unless separately verified and certified by an appropriately qualified provider.

28.4 AI-generated summaries may omit important provisions or contextual information.

28.5 Customers must independently review outputs before relying on them.

29. ARTIFICIAL INTELLIGENCE

29.1 Certain Services use artificial intelligence provided by Docsora or authorised third parties.

29.2 AI outputs are probabilistic and may be inaccurate or incomplete.

29.3 AI outputs must not be treated as a substitute for qualified legal, financial, medical, regulatory, or other professional advice.

29.4 Customers are responsible for determining whether documents are suitable for AI processing.

29.5 Docsora does not use Customer Content to train its own general-purpose AI models or for unrelated product improvement.

29.6 Docsora may use third-party AI providers to perform requested operations, subject to applicable contractual and privacy obligations.

29.7 Third-party processing, including applicable retention and data-handling practices, is further described in Docsora’s Privacy Policy.

29.8 Customers must possess the necessary rights and lawful basis to submit documents for AI processing.

36.5 Nothing in these Terms excludes non-waivable statutory refund or cancellation rights.

PART I - SERVICE OPERATIONS

49.5 Subject to mandatory jurisdictional requirements and non-waivable consumer rights, the parties specifically, clearly, and expressly agree in writing that the Dubai International Financial Centre Courts shall have exclusive jurisdiction over civil and commercial disputes arising out of or in connection with these Terms or the Services.

49.6 Nothing in this Section restricts any non-waivable right to bring proceedings before another competent court or authority.

49.7 Either party may seek urgent protective relief where legally available.

51.2 Docsora may assign these Terms in connection with a merger, acquisition, restructuring, or sale of relevant assets, subject to Applicable Law.

52. SEVERABILITY

If any provision is invalid or unenforceable, it will be limited or severed to the minimum extent necessary, and the remaining provisions will continue in effect.
